Participant Assumption of Risk, Waiver & Release

The short version. KOKO is a technology platform where people discover, book, and log martial-arts training. KOKO is not a gym, coach, or training provider, and it does not run, supervise, or vet any training. Martial arts are dangerous. By accepting this waiver, you take responsibility for that risk and give up claims against KOKO.

PLEASE READ CAREFULLY. THIS DOCUMENT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO SUE.

By accepting this Waiver, you ("I" or "Participant") agree to it in favor of KOKO Industries LLC, a Hawaii limited liability company doing business as "KOKO," and its members, managers, officers, employees, and agents (together, the "KOKO Parties"). You must be 18 or older to accept. You accept this Waiver once when you create your account, and you re-acknowledge it each time you join, check in to, or book a session through KOKO.

1. I understand the activity is dangerous

I understand that martial arts, jiu-jitsu, grappling, wrestling, judo, striking, boxing, Muay Thai, MMA, sparring, drilling, conditioning, open mats, private and small-group coaching, and related training and events (the "Activities") are inherently dangerous. They expose me to a risk of serious bodily injury, including concussion and brain injury, spinal injury, joint, bone, and ligament injury, communicable skin and other illness, permanent disability, and death. These risks exist wherever the Activity takes place, including a gym, a park, a beach, a private residence, or any other location. They may result from my own actions, the actions of a coach, training partner, or other participant, the condition of the location or equipment, weather, or a lack of supervision, qualifications, instruction, or insurance.

2. I assume all risks

I voluntarily and knowingly assume all risks of the Activities, both known and unknown, including risks arising from the negligence of any gym, coach, host, or other participant, or of the condition of any location. I am participating of my own free will.

3. KOKO does not provide, supervise, or vet the Activities

KOKO is a technology platform. KOKO lets people find, post, join, and book sessions, and it collects payments on behalf of coaches for sessions booked through it. KOKO does not provide training; does not organize, host, supervise, or control any session or location; and does not vet, certify, endorse, or guarantee the identity, belt rank, qualifications, background, safety, insurance, or conduct of any gym, coach, host, or participant. Profiles, ranks, badges, and listings come from third parties and are not KOKO's endorsement. I will decide for myself whether a gym, coach, session, or location is appropriate and safe for me.

4. Release and covenant not to sue

To the fullest extent permitted by law, I release, waive, discharge, and covenant not to sue the KOKO Parties for any and all claims, demands, damages, losses, liabilities, and causes of action of any kind, including those caused by the KOKO Parties' own ordinary negligence, arising out of or relating to my participation in any Activity, or to any gym, coach, host, session, event, location, booking, or interaction that I find, join, or book through KOKO. This includes claims for personal injury, illness, death, and property damage. This release binds me and my heirs, executors, administrators, and assigns. It does not release liability that the law does not permit to be released, such as liability for gross negligence or willful misconduct.

5. Indemnification

I will indemnify and hold harmless the KOKO Parties from any claim brought by me or on my behalf, or by anyone claiming through me, arising out of my participation in the Activities, including reasonable attorneys' fees.

6. Other waivers

Gyms, coaches, and hosts may require their own waivers and rules, and I will sign and follow them. This Waiver is in addition to, and does not replace, theirs. This Waiver protects only the KOKO Parties. KOKO is not a party to my agreement with any gym, coach, or host.

7. Health, medical treatment, and insurance

I confirm that I am physically able to participate. I will tell any coach about any injury or medical condition before training, and I will stop if I feel unwell or unsafe. I am responsible for my own health care and medical and accident insurance. I authorize emergency medical treatment if I need it, at my own expense. KOKO provides no medical, accident, or liability insurance to participants.

8. General

This Waiver is intended to be as broad and inclusive as Hawaii law permits. If any part of it is held unenforceable, that part will be limited to the minimum extent necessary and the rest remains in full force. This Waiver is governed by the laws of the State of Hawaii. Disputes are resolved as set out in the KOKO Terms of Service. KOKO keeps a record of the version I accepted and each time I re-acknowledged it.
