Coach Terms
Version 2.0 · Last updated October 14, 2026
The short version. KOKO is a technology platform where people discover, book, and log martial-arts training. KOKO is not a gym, coach, or training provider, and it does not run, supervise, or vet any training. As a coach on KOKO, you run your own independent business. KOKO gives you the tools to be found, booked, and paid.
These Coach Terms are a binding agreement between you ("you" or "Coach") and KOKO Industries LLC, a Hawaii limited liability company doing business as "KOKO" ("KOKO," "we," "us"). They govern your listing as a coach on the KOKO platform (the "Platform") and every private or small-group session you sell through it (each, a "Coach Booking"). They supplement and incorporate the Terms of Service, the Booking Terms, the Privacy Policy, and the Acceptable Use & Community Guidelines. If these Coach Terms conflict with the Terms of Service, these Coach Terms control as to your activity as a Coach.
You accept these Coach Terms when you turn on coaching, publish a coaching offering, or click "I agree." If you accept on behalf of a business, you represent that you have authority to bind it, and "you" includes that business.
1. Your relationship with KOKO
1.1 Independent business. You are an independent business, not an employee, agent, partner, joint venturer, or franchisee of KOKO. Nothing in these Coach Terms creates an employment relationship. You alone decide whether to offer coaching, which sessions to offer, your prices, your schedule, your locations, your methods, and whether to accept any athlete. KOKO does not assign work, require minimum availability, supervise or evaluate your instruction, or provide tools, equipment, uniforms, or training. You may coach elsewhere, on other platforms, and for your own clients at any time. There is no exclusivity.
1.2 No benefits; your taxes. You are not eligible for any employee benefit, workers' compensation, or unemployment coverage through KOKO. You are solely responsible for your own taxes, including income tax and Hawaii general excise tax ("GET"), and for any business licenses your coaching requires. You will provide accurate taxpayer information when requested. KOKO's payment processor may issue tax information returns (such as Form 1099-K) as required by law. If KOKO is required by law to collect, withhold, or remit any tax on Coach Bookings, as a marketplace facilitator or otherwise, KOKO may do so and will reflect it in your payout statement.
1.3 KOKO does not vet or endorse you. KOKO is a marketplace and technology platform. KOKO does not certify, vet, screen, endorse, or guarantee any coach's identity, rank, lineage, qualifications, background, insurance, or safety. KOKO never certifies belt rank. Any badge or label (for example, "Approved to coach at [gym]") means only what it literally states and reports who vouched, not KOKO's judgment. You may not state or imply that KOKO has vetted, certified, endorsed, or insured you.
2. Eligibility and your listing
2.1 Eligibility. You must be at least 18, legally able to work in the United States, and able to form a binding contract. KOKO may verify your identity at any time and may decline or remove any listing at its discretion.
2.2 Accuracy. Everything in your listing must be true and current, including your name, disciplines, rank, affiliation, credentials, prices, locations, and availability. You must correct anything that changes. You may not misrepresent your rank, affiliation, lineage, or qualifications.
2.3 Your offering page. KOKO may give you a shareable public link to your offering. You may share it anywhere. KOKO may display your offering (but never the details of any individual booked session) in the app, on the map, and in KOKO marketing.
3. Coach Bookings
3.1 Who contracts with whom. When an athlete books you, the contract for the coaching session is between you and the athlete. KOKO is not a party to that contract. KOKO's role is limited to providing the Platform and acting as your limited payment collection agent (Section 4).
3.2 Adults only. Coach Bookings are for adults only. You will not accept or deliver a Coach Booking for any person under 18, and you will end a session immediately if you learn the participant is under 18. Booking is for the account holder only. If someone other than the person who booked appears, you may decline to coach them.
3.3 Delivering the session. You will show up on time at the booked place, deliver the session as described in your offering, and follow all laws and the venue's rules. You are solely responsible for the content, safety, and conduct of your sessions, including appropriate supervision, intensity, and stopping the session when safety requires it.
3.4 Availability and calendar. You are responsible for keeping your availability accurate. KOKO will try to prevent double-booking based on the information you provide, but you remain responsible for conflicts with commitments outside the Platform, including those on external calendars.
3.5 Venue and permits. You are responsible for having the right to use any location where you coach, including permission from the owner or operator of a private venue and any permit required for commercial activity on public property such as a park or beach. KOKO does not obtain permits or venue permission for you.
3.6 Waivers. You may require athletes to accept your own waiver as a condition of booking. If you do, you are responsible for its content and for its compliance with law. KOKO will present it at checkout and record the version accepted, the signer, and the date and time of acceptance, and will ask the athlete to accept a new version if you change it. If KOKO makes a standard coach waiver template available, it is provided as a convenience, "as is," is not legal advice, and may not fit your activities or location. Have your own lawyer review any waiver you use. Every athlete also accepts KOKO's own Participant Waiver, which protects KOKO and does not replace yours.
3.7 Insurance. You are strongly encouraged to carry general and professional liability insurance appropriate to your coaching. You must carry any insurance required by law or by a venue where you coach. KOKO may ask for proof of insurance, may display coverage status you provide, and may pause your offering if coverage you have represented lapses. KOKO does not provide insurance to coaches or athletes.
3.8 Conduct and safety. You will treat every athlete with respect. Harassment, discrimination, sexual misconduct, threats, intoxication while coaching, or any conduct that endangers an athlete is prohibited and will result in removal. You will report to KOKO promptly any serious injury, incident, or allegation of misconduct arising from a Coach Booking, and you will cooperate with any lawful investigation.
4. Payments
4.1 KOKO as your limited payment collection agent. You appoint KOKO as your limited payment collection agent solely to accept payments from athletes for Coach Bookings on your behalf and to remit them to you under these Coach Terms. An athlete's payment to KOKO for a Coach Booking satisfies the athlete's obligation to pay you for that booking, as if paid to you directly. KOKO's obligation to pay you is limited to amounts KOKO actually collects, net of refunds, fees, and adjustments described in these Coach Terms. KOKO is not a bank, escrow agent, trustee, or fiduciary. Amounts it holds pending payout do not bear interest for you, and KOKO is not required to keep them in a segregated account. Card charges may appear on the athlete's statement under "KOKO."
4.2 Payment processing. Payments are processed by Stripe, Inc. and its affiliates ("Stripe"). To receive payouts you must complete Stripe's onboarding and agree to the Stripe Connected Account Agreement, which includes the Stripe Services Agreement. You authorize KOKO to share your information with Stripe and to direct Stripe to make, reverse, and adjust transfers to your account as these Coach Terms describe. KOKO is not responsible for Stripe's acts, omissions, holds, or account decisions.
4.3 When you get paid. The athlete is charged when they book. KOKO holds the session price and transfers your share only after the session is confirmed. A session is confirmed when the athlete checks in to it on the Platform, or automatically if the athlete has neither checked in nor reported a problem within 48 hours after the scheduled end time. Payout timing from Stripe to your bank depends on your Stripe payout schedule.
4.4 KOKO's fee. You set the price of your sessions. KOKO charges a service fee equal to 10% of the session price for each confirmed Coach Booking, which KOKO deducts before transferring your share. KOKO may also charge athletes a booking fee, which is shown to them at checkout and is not part of your price. KOKO's fee does not depend on any arrangement you have with a gym or venue. KOKO will give you at least 30 days' notice before increasing its fee, and the increase will not apply to sessions already booked.
4.5 Refunds, chargebacks, and adjustments. Refunds follow the cancellation rules in Section 5 and the Booking Terms. Because your share is not transferred until the session is confirmed, most refunds are paid out of the amount KOKO is holding. If an athlete obtains a refund, chargeback, or reversal after your share has been transferred, and the claim relates to your services (for example, a session you did not deliver as described), you authorize KOKO to recover your share by reversing the transfer, deducting it from future payouts, or debiting your Stripe account. You will cooperate with KOKO in responding to chargebacks. KOKO may hold a payout for a reasonable period while it investigates suspected fraud, a safety incident, a dispute, or a violation of these Coach Terms.
4.6 Payments for bookings made on KOKO stay on KOKO. For any session booked through KOKO, you will not ask or accept payment for that session outside the Platform. You are free to work with clients outside KOKO. KOKO's protections, including payment collection, refunds, dispute handling, and booking records, apply only to sessions booked and paid through KOKO.
5. Cancellations, no-shows, and changes
5.1 Your cancellation policy. Unless KOKO allows you to choose a different policy and you show it on your offering before booking, the KOKO Standard Policy in the Booking Terms applies: the athlete gets a full refund for cancelling at least 24 hours before the start time, and no refund of the session price for cancelling later or failing to show up.
5.2 If you cancel. If you cancel a Coach Booking at any time, or do not show up, the athlete receives a full refund, including any KOKO booking fee, and you receive nothing for that session. Cancel as early as possible, and use the Platform so the athlete and their calendar are notified. Repeated cancellations or no-shows may lead to lower visibility, suspension, or removal.
5.3 Rescheduling. You may propose a new time through the Platform. The booking changes only if the athlete accepts. If the athlete declines or does not respond before the original start time, the original booking stands. If you cannot keep the original time, you must cancel.
5.4 Athlete no-shows and problems. If an athlete does not appear, you may report a no-show through the Platform within the confirmation window. If an athlete reports a problem (for example, that you did not appear or the session was materially different from your offering), KOKO may review both accounts and any available records, and may decide in good faith how the held funds are allocated. That decision governs only the funds KOKO holds and does not limit your or the athlete's legal rights against each other.
5.5 Safety cancellations. If weather, illness, injury, or an unsafe condition prevents a session from going ahead safely, you should cancel or reschedule. The athlete receives a full refund unless they accept a new time.
6. Pausing and deactivating
6.1 Pause new bookings. You may pause your coaching at any time. While paused, athletes cannot book you, your existing bookings remain in effect, and your offering page tells visitors you are not taking new sessions.
6.2 Deactivate your coach profile. You may deactivate your coach profile at any time, but first you must either deliver or cancel every future Coach Booking. Cancellations are refunded under Section 5.2. Deactivating does not delete your athlete account, your training history, or the booking and payment records that KOKO must keep for legal, tax, and dispute purposes. Amounts owed between you and KOKO survive deactivation.
6.3 KOKO's rights. KOKO may pause, limit, or remove your listing, cancel future Coach Bookings (with full refunds to athletes), or end these Coach Terms at any time if KOKO reasonably believes you have violated them, created a risk to anyone's safety, exposed KOKO to legal or financial risk, or if required by law. KOKO will tell you why when it is lawful and safe to do so.
7. Athlete information
You will receive athletes' personal information (such as name and contact details) only to deliver Coach Bookings. You will keep it confidential and secure, use it only to deliver, schedule, and follow up on sessions, comply with all privacy laws, and not sell it or add anyone to marketing lists without their consent. You may not use the Platform to track any person's location or attendance.
8. Your content and reviews
You keep ownership of the content you post, such as your profile, photos, videos, and descriptions. You grant KOKO a worldwide, non-exclusive, royalty-free, sublicensable license to host, display, reproduce, adapt for format, and distribute that content to operate and promote the Platform and your offering. The license ends when you remove the content, except for copies already shared or in backups. You confirm that you own or have permission to use your content and that it does not infringe anyone's rights. Athletes may review your sessions. KOKO does not edit reviews to favor or disfavor any coach, may remove reviews that violate its policies, and will not remove truthful reviews at a coach's request.
9. Disclaimers and limitation of liability
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, KOKO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND DOES NOT PROMISE ANY LEVEL OF BOOKINGS OR INCOME. TO THE FULLEST EXTENT PERMITTED BY LAW, KOKO AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AND AGENTS (THE "KOKO PARTIES") WILL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, OR GOODWILL. THE KOKO PARTIES' TOTAL LIABILITY TO YOU ARISING OUT OF OR RELATING TO THESE COACH TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES KOKO RETAINED FROM YOUR COACH BOOKINGS IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) $100. THIS LIMIT DOES NOT APPLY TO KOKO'S OBLIGATION TO REMIT AMOUNTS IT HAS COLLECTED AND OWES YOU UNDER SECTION 4.
10. Indemnification
You will defend, indemnify, and hold harmless the KOKO Parties from and against any claim, demand, loss, liability, damage, fine, penalty, or expense (including reasonable attorneys' fees) arising out of or relating to: (a) your coaching or any Coach Booking, including any injury, death, or property damage; (b) your conduct toward any athlete or other person; (c) your content; (d) your waiver or its enforceability; (e) your taxes, licenses, permits, insurance, or venue arrangements; (f) any misrepresentation of your rank, credentials, or qualifications; or (g) your breach of these Coach Terms or the law. KOKO may take over the defense of any claim at its own expense, and you will cooperate.
11. Disputes
These Coach Terms are governed by the laws of the State of Hawaii, without regard to conflict-of-laws rules. Any dispute between you and KOKO arising out of or relating to these Coach Terms will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Honolulu, Hawaii, except that either party may bring an individual claim in small-claims court or seek injunctive relief to protect intellectual property. You and KOKO waive any right to a jury trial and to bring or participate in a class, collective, consolidated, or representative action. You may opt out of this arbitration section by emailing [email protected] within 30 days after you first accept these Coach Terms.
12. General
12.1 Changes. KOKO may update these Coach Terms. KOKO will give you at least 30 days' notice of any material change, through the Platform or by email. Changes do not apply to Coach Bookings made before they take effect. If you continue to offer coaching after a change takes effect, you accept it. If you do not agree, you may pause or deactivate under Section 6.
12.2 Electronic records. You agree to receive agreements, notices, payout statements, and tax documents electronically. KOKO keeps a record of the version of these Coach Terms you accepted and when you accepted it.
12.3 Survival, assignment, and the rest. Sections 1.2, 1.3, 4.5, 5.4, 6.2, and 7 through 12 survive termination. You may not assign these Coach Terms. KOKO may assign them to an affiliate or successor. If any provision is unenforceable, it will be enforced to the maximum extent permitted and the rest remains in effect. KOKO's failure to enforce a provision is not a waiver. These Coach Terms, together with the documents they incorporate, are the entire agreement between you and KOKO about coaching on the Platform.
