Founding Member Terms


Effective date: Effective upon publication

These Founding Member Terms govern your one-time purchase of a KOKO Founding Membership — THE FIRST 808 ("Founding Membership"). They supplement, and are incorporated into, the KOKO Terms of Service and Privacy Policy. Where these Founding Member Terms conflict with the general Terms on a matter specific to the Founding Membership, these terms control. Capitalized terms not defined here have the meaning given in the Terms of Service.

1. What the Founding Membership is

The Founding Membership is a one-time, non-recurring purchase of $120 USD that grants a lifetime founding membership to KOKO. It is limited to 808 total memberships in Hawaiʻi and is not offered again once sold out. Each membership carries a permanent founding number (1–808) assigned in order of purchase.

2. What is included

The specific mix of benefits may be adjusted over time as KOKO evolves, provided that the core benefits above are preserved in substance.

3. Beta status — features may evolve

KOKO is currently in public beta via Apple's TestFlight. By purchasing a Founding Membership, you acknowledge that the app and its features are under active development and may change, be added, or be removed before and after the official App Store release. Benefits described here are provided on an evolving basis and are not a guarantee of any specific feature at any specific time.

4. Delivery & timing

Consistent with the FTC Mail, Internet, or Telephone Order Merchandise Rule: if we are unable to deliver a promised item within the applicable time above, we will notify you and you may cancel that portion of your order for a refund of amounts allocable to the undelivered item. 5. Price, payment & processor

The Founding Membership is $120 USD, charged once. It does not auto-renew and creates no recurring obligation. Payment is processed by Square (through Uptake LLC as interim operating entity for KOKO Industries LLC); future in-app transactions may be processed by Stripe. KOKO does not store your full card details. Applicable taxes, if any, are as shown at checkout.

6. "Lifetime" and KOKO Premium

"Lifetime" means for the operational life of the KOKO product and services, subject to the Terms of Service (including suspension/termination for cause). Your Founding Membership includes lifetime access to KOKO Premium features released as part of your membership benefits. This does not include products or services offered outside the scope of KOKO Premium — for example, separately priced enterprise features, gym-management software, physical goods, third-party services, or paid coaching sessions — which may be offered under their own terms and pricing.

7. Coaching pricing

Private and third-party coaching are paid services and are not free. Where KOKO facilitates coaching, founders will always receive the best publicly available member pricing on eligible coaching services. "Eligible" and "publicly available member pricing" are determined by KOKO in good faith and may vary by coach, service, and promotion.

8. Refunds & cancellation

Except as stated in Section 4 (undelivered items) or as otherwise required by law, all Founding Membership sales are final, because the membership grants immediately-usable digital benefits and a one-time lifetime status. If you believe an error occurred with your purchase, contact [email protected] and we will work with you in good faith. (Refund and cancellation terms to be confirmed with counsel and with any applicable Square, Apple, or state-law requirements.)

9. One per person; non-transferable

Founding Memberships are intended one per person, are personal to you, and are non-transferable and non-resellable without KOKO's written consent. The founding number and benefits may not be assigned, sold, or transferred.

10. Relationship to the Terms of Service & Privacy Policy

Your purchase and use of the Founding Membership are also governed by the Terms of Service and Privacy Policy, including their provisions on assumption of risk, release, disclaimers, limitation of liability, and binding individual arbitration with a class-action waiver (seated in Honolulu, Hawaiʻi). Please read them.

11. Changes

We may update these Founding Member Terms; material changes will be communicated, and the "Effective date" will be updated. We retain versioned records of each member's acceptance.

12. Governing law & disputes

These Founding Member Terms are governed by the laws of the State of Hawaiʻi, and disputes are resolved as provided in the Terms of Service (Section 14, Arbitration & Class-Action Waiver).
